Terms of Service

These terms apply to AI agents, workflow automation, integrations, research systems and related services provided by NodeFlow Automation. A written proposal may add project-specific scope, milestones and terms.

Scope and delivery

Deliverables, integrations, timelines, acceptance criteria and support are defined in the proposal or project agreement. Timelines depend on scope, access, client feedback and third-party availability. Any changes outside the agreed scope may require a separate quote.

Fees and payment

Prices may include a one-time setup fee and a recurring monthly service fee. Unless a proposal says otherwise, setup is payable 50% at kickoff and 50% when the solution is ready for launch. Monthly plans have a three-month minimum commitment and are invoiced according to the agreed billing date. Unless a separate payment authorization is explicitly agreed and activated, invoices are paid manually; automatic recurring charges are not implied by these terms. Third-party platform, API, messaging, hosting and software charges are billed separately where stated in the proposal.

Late payment and suspension

If an invoice is overdue, we may contact you to arrange payment and may pause new work or suspend the affected service after giving reasonable notice. Work and service access may resume after overdue amounts are paid and the relevant systems are safe to restore. We will not apply an undisclosed late fee; any agreed late fee must be stated in the applicable proposal or invoice and permitted by law.

Cancellation and refunds

Monthly plans have a three-month minimum unless the written proposal says otherwise. After the minimum term, cancellation requires 30 days' notice. The effective date and any final invoice will be confirmed in writing. Setup-fee refunds, monthly fees for a period already started, duplicate payments and third-party costs are handled under the Refund & Cancellation Policy. Applicable legal rights are not excluded.

Third-party services and AI

Services may depend on third-party platforms, APIs, AI models, messaging services, internet access and client systems. Their availability, prices, terms and data practices are controlled by those providers. AI outputs can be incomplete or incorrect; important decisions and external actions should use appropriate review or approval. We do not guarantee uninterrupted operation or a particular business result.

Client responsibilities

You must provide accurate information, lawful access and required approvals, maintain necessary subscriptions and permissions, and review outputs or actions where appropriate. You are responsible for the legality and accuracy of data you supply and for ensuring you have permission to use it.

Ownership, reusable components and handover

After payment of all agreed fees, project-specific deliverables and client business data are handed over or made available as agreed in the proposal. NodeFlow retains its pre-existing know-how, reusable templates, general-purpose components and methods unless the proposal expressly transfers them. Third-party software, models and services remain subject to their own licences. Credentials should be transferred securely and access not needed after handover should be revoked.

Confidentiality and data

Each party should protect the other party's non-public information and use it only for the engagement, subject to applicable law and any separate confidentiality agreement. Data-processing details depend on the integrations selected and are described in the Privacy Policy and project scope.

Liability

To the extent permitted by applicable law, NodeFlow is not liable for indirect or consequential losses, third-party outages, changes made by external providers, or outcomes caused by inaccurate input or use outside the agreed scope. Any liability cap must be applied only to the extent permitted by law and does not exclude liabilities that cannot legally be excluded.

Governing law and disputes

These terms are governed by the laws of India. Subject to applicable law, disputes will be subject to the jurisdiction of the appropriate courts in Tamil Nadu, India.
